Govt Shuts Down 70 Companies from Registry, Lists More for Deregistration in 3 Months

Nairobi – The Kenyan government has officially dissolved 70 companies, striking their names off the Register of Companies.

This was announced in a recent gazette notice dated March 17 by the Deputy Registrar of Companies, Hiram Gachugi.

Dissolved companies

According to the notice the dissolution, effective from March 17, 2025, was carried out under Section 897 (4) of the Companies Act (Cap. 486), bringing an end to the operations of the listed entities.

“PURSUANT to section 897 (4) of the Companies Act, it is notified for the information of the general public that the following companies are dissolved and their names have been struck off the Register of Companies with effect from the date of publication of this notice,” read the notice.

Among those struck off are notable names such as G4S Cash Solutions (Kenya) Limited, a prominent security and cash management firm, Abba Mining Company Limited, and Equity Resilience and Continuity Kenya Limited.

Other entities include Mua Hills Dairy And Spring Farm Limited, Pacific Azul Limited, and Ukwala Supermarket (Nakuru) Limited.

Companies set for deregistration

In a separate notice, an additional 94 companies have been earmarked for deregistration, with their fate to be sealed in three months unless objections are raised.

The Gazette Notice No. 4011, also dated March 17, 2025, issued under Section 897 (3) of the Companies Act, listed 94 companies facing intended dissolution.

According to the deputy registrar of companies, these firms have three months from the publication date to show cause why they should not be removed from the registry.

The list includes companies like Airports Infrastructure Plc, Hawkins Associates Limited, and Premier Pharmaceuticals and Medical Laboratory Limited. Other entities such as Homeland Dairy Foods Limited, Sublime Industries Limited, and Tennerco Investments Limited are also on the chopping block.

The notice invites stakeholders to submit objections, failing which these companies will be struck off by mid-June 2025.

“PURSUANT to section 897 (3) of the Companies Act, the Registrar of Companies gives notice that the names of the companies specified hereunder shall be struck off from the Register of Companies at the expiry of three months from the date of publication of this notice, and invites any person to show cause why the companies should not be struck off from the Register of Companies,” the notice read.

The Registrar’s actions are part of an ongoing effort to clean up the Companies Register, targeting entities that have failed to comply with statutory requirements, such as filing annual returns or maintaining active operations.
